Terms of Service

Plain-language summary: Use Grovia Vault for lawful backup and cyber resilience purposes. Keep your credentials secure. Don't misuse the platform. We'll keep the service running and your data safe. Disputes are governed by Indian law.

1. Definitions

"Service" — the Grovia Vault backup and cyber resilience platform, including the dashboard, API, and agent software.
"Webzworld" / "we" / "us" — Webzworld, the provider of Grovia Vault, registered in India.
"Customer" / "you" — the organisation or individual that has created a Grovia Vault account.
"Agent" — the Grovia Vault software installed on your devices to perform backups.
"Backup Data" — the encrypted ciphertext of files you back up using the Service.

2. Eligibility and Account Registration

You must be at least 18 years of age and authorised to enter into contracts on behalf of your organisation to use Grovia Vault. By registering, you represent that all information you provide is accurate and that you have the authority to bind your organisation to these terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at info@groviavault.com if you suspect unauthorised access.

3. The Service

3.1 What We Provide

Encrypted, air-gapped cloud backup with AES-256-GCM encryption performed client-side
Real-time ransomware detection and threat alerting
Point-in-time restore capabilities
Microsoft 365 backup (Exchange Online, SharePoint, OneDrive, Teams) on eligible plans
MSP multi-tenant management console on eligible plans
Dashboard, API, and agent software for backup management

3.2 Service Availability

We target 99.9% uptime for the API and dashboard on paid plans. Scheduled maintenance will be notified at least 24 hours in advance. We are not liable for downtime caused by factors outside our control (internet outages, third-party cloud provider incidents, force majeure).

3.3 Free Plan

The Free plan is provided at no charge and without a service level agreement. We reserve the right to modify or discontinue the Free plan with 30 days' notice.

4. Acceptable Use

You agree not to use the Service to:

Back up data that you do not own or have the right to process
Store, transmit, or distribute illegal content under Indian law or applicable international law
Attempt to reverse-engineer, decompile, or extract the source code of any part of the Service
Probe, scan, or test the vulnerability of the Service without prior written authorisation from Webzworld
Use the Service in any way that could damage, disable, or impair it
Resell or sublicense access to the Service without a written MSP or reseller agreement

5. Data Ownership and Encryption

You retain all ownership of your Backup Data. We claim no rights over the content of your backups.

Because Grovia Vault uses zero-knowledge client-side encryption, we cannot access, read, or recover your Backup Data without your encryption passphrase. You are solely responsible for securely storing your passphrase. Loss of your passphrase may result in permanent, irrecoverable loss of your backup data.

6. Fees and Payment

Paid plans are invoiced as agreed at the time of subscription. All prices are in Indian Rupees (INR) unless otherwise stated. Invoices are due within 30 days of issue. Failure to pay may result in suspension of your account after 15 days' notice.

We do not offer refunds for partial months of service except where required by applicable Indian consumer protection law.

7. Confidentiality

Each party agrees to keep the other's confidential information (including pricing, technical architecture, and business terms) confidential and to use it only for the purposes of this agreement. This obligation survives termination for three years.

8. Intellectual Property

Grovia Vault, its logo, and all software, documentation, and associated materials are the intellectual property of Webzworld. No licence to our intellectual property is granted other than the limited right to use the Service as described in these terms.

9. Limitation of Liability

To the maximum extent permitted by Indian law, Webzworld's total liability for any claim arising from or related to the Service shall not exceed the fees paid by you in the 3 months preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits or loss of data resulting from your failure to maintain a valid encryption passphrase.

10. Indemnification

You agree to indemnify and hold harmless Webzworld, its directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your breach of these terms, your misuse of the Service, or your violation of any third-party rights.

11. Termination

Either party may terminate a paid subscription with 30 days' written notice. We may terminate your account immediately and without notice for breach of the Acceptable Use policy (Section 4) or non-payment.

On termination, your Backup Data will be retained for 30 days to allow for data retrieval, then permanently deleted.

12. Modifications to These Terms

We may update these terms from time to time. We will notify you by email at least 15 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised terms.

13. Governing Law and Dispute Resolution

These terms are governed by the laws of India. Any disputes arising from or relating to these terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts in India.
